1. Introduction and Acceptance of Terms
At Mentorix LLP (“Mentorix,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of Mentorix’s website, services, and applications (collectively, the “Services”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services. These Terms constitute a legally binding agreement between you and Mentorix.
2. Description of Services
Mentorix provides online mentorship services for entry-level UI/UX designers worldwide. Our Services include, but are not limited to:
a) One-on-one mentoring sessions
b) Pre recorded courses taken at one’s pace
c) Portfolio reviews and critiques
d) Bi-weekly calls for progress check-ins and guidance
e) Interactive design sessions on our platform
f) Access to educational resources and materials
The specific details, duration, and frequency of these Services may vary and will be communicated to you upon enrollment or as updated from time to time.
3. Eligibility and User Registration
3.1 Age Requirement: You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you are at least 18 years of age.
3.2 Account Creation: To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.3 Account Security: You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your account. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorised use of your account.
4. User Conduct and Responsibilities
4.1 Acceptable Use: You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:
- In any way that violates any applicable federal, state, local, or international law or regulation
- To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation
- To impersonate or attempt to impersonate Mentorix, a Mentorix employee, another user, or any other person or entity
- To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Services, or which, as determined by us, may harm Mentorix or users of the Services or expose them to liability
4.2 User Content: You retain ownership of any content you submit, post, or display on or through the Services (“User Content”). By submitting, posting, or displaying User Content on or through the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with providing and promoting our Services.
4.3 Feedback: If you provide us with any feedback or suggestions regarding the Services (“Feedback”), you hereby assign to us all rights in such Feedback and agree that we shall have the right to use and fully exploit such Feedback and related information in any manner we deem appropriate.
5. Intellectual Property Rights
5.1 Mentorix’s Intellectual Property: The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Mentorix, its licensors, or other providers of such material and are protected by Nigeria and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
5.2 Limited License: These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as follows:
- Your computer may temporarily store copies of such materials incidental to your accessing and viewing those materials
- You may store files that are automatically cached by your Web browser for display enhancement purposes
- You may print or download one copy of a reasonable number of pages of the Services for your own personal, non-commercial use and not for further reproduction, publication, or distribution
5.3 Restrictions: You must not:
- Modify copies of any materials from the Services
- Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text
- Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Services
6. Payment Terms and Refund Policy
6.1 Fees: The fees for our Services will be clearly communicated to you before you enroll in any program or mentorship. All fees are in naira and are non-refundable unless otherwise stated.
6.2 Payment: You agree to pay all fees or charges to your account based on the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. You must provide us with a valid credit card (Visa, MasterCard, or any other issuer accepted by us) or other payment method as a condition to signing up for the Services.
6.3 Refund Policy: We do not offer refunds for our Services. However, if you are not satisfied with our Services, we commit to working with you until you reach your goals, as reasonably determined by us.
6.4 Free Trials: We may, at our sole discretion, offer a subscription to the Services with a free trial for a limited period of time. You may be required to enter your billing information to sign up for the free trial. If you do enter your billing information when signing up for a free trial, you will not be charged by us until the free trial has expired.
7. Termination
7.1 Termination by You: You may terminate your account and discontinue use of the Services at any time by contacting us at hello@mentorix.vip.
7.2 Termination by Us: We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
7.3 Effect of Termination: Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services.
8. Limitation of Liability
8.1 Disclaimer of Warranties: THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. MENTORIX EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8.2 Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MENTORIX, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE TO ANY PERSON FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, COVER OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, REVENUE, SALES, GOODWILL, USE OF CONTENT, IMPACT ON BUSINESS, BUSINESS INTERRUPTION, LOSS OF ANTICIPATED SAVINGS, LOSS OF BUSINESS OPPORTUNITY) HOWEVER CAUSED, UNDER ANY THEORY OF LIABILITY, INCLUDING, WITHOUT LIMITATION, CONTRACT, TORT, WARRANTY, BREACH OF STATUTORY DUTY, NEGLIGENCE OR OTHERWISE, EVEN IF MENTORIX HAS BEEN ADVISED AS TO THE POSSIBILITY OF SUCH DAMAGES OR COULD HAVE FORESEEN SUCH DAMAGES.
9. Indemnification
You agree to defend, indemnify, and hold harmless Mentorix, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services.
10. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions. You agree that any legal action or proceeding between you and Mentorix shall be brought exclusively in the federal or state courts located in Nigeria, and you hereby accept and submit to the personal jurisdiction of these courts with respect to any legal actions or proceedings arising out of or related to these Terms or your use of the Services.
11. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
12. Miscellaneous
12.1 Entire Agreement: These Terms constitute the entire agreement between you and Mentorix regarding the use of the Services, superseding any prior agreements between you and Mentorix relating to your use of the Services.
12.2 Waiver and Severability: The failure of Mentorix to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. In the event that any provision of these Terms is held to be invalid or unenforceable, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.
12.3 Assignment: These Terms, and any rights and licences granted hereunder, may not be transferred or assigned by you, but may be assigned by Mentorix without restriction.
